These Terms and Conditions ("Terms") apply to the services provided by No Plans Today LLC, (trading as "NoPlansToday") referred to as "the Agency," to its clients, referred to as "the Client."

1. Services Provided

1.1 Content Creation Services

The Agency provides a monthly video content subscription for brands. Each active subscription month, the Agency will produce and deliver a cohesive set of video assets, classified across the following formats:

• [X] "Hero" Films — a primary campaign video featuring the Client's products, built around a custom creative treatment.

• [X] Vignettes — short, world-building scenes supplementing the Hero piece.

• [X] Lookbooks — video-based product features styled to the Client's brand aesthetic.

Exact quantity, format mix, and shot list are confirmed during the Strategy Session for each campaign and may vary slightly month to month based on the Client's product drops and goals.

The content creation package and process includes:

• A Strategy Session to discuss the Client's brand, goals, and audience, resulting in a custom creative treatment for the Client to review and approve before production begins.

• Coordination of all production logistics: locations, talent casting, gear, and crew.

• Filming and full post-production editing of all deliverables.

• Delivery of edited, finished video assets ready to post.

Not included, unless separately agreed:

• Raw, unedited footage. Raw footage is not included in the standard subscription and can be provided as a paid add-on at a cost to be discussed and confirmed in writing.

• Posting/scheduling of content to the Client's social channels (the Client handles publishing unless otherwise agreed).

1.2 Agency's Responsibilities

The Agency will:

• Prepare a custom creative treatment ahead of each production, based on the Client's goals and brand direction.

• Handle all shoot logistics, including talent, location, gear, and crew.

• Edit all deliverables to the agreed creative direction and quality level, consistent with the examples shown on the NoPlansToday website.

• Deliver completed content within [X] business days of the shoot, unless otherwise communicated.

• Provide [X] rounds of revisions per deliverable (see Section 4).

• Communicate with the Client via [Slack / email / preferred channel] and respond to Client inquiries within [X] hours during standard business days.

1.3 Client's Responsibilities

The Client will:

• Review and approve the creative treatment within a reasonable timeframe before production begins.

• Ship the agreed products to the Agency in time for the scheduled shoot.

• Provide feedback on delivered content within [X] business days, so revisions (if any) can be completed promptly.

• Ensure product shipments and approvals are submitted within agreed deadlines to keep the production schedule on track.

2. Subscription & Payment Terms

NoPlansToday is offered as a monthly subscription:

The subscription can be paused or cancelled at any time, effective from the next billing cycle, unless a different minimum term is agreed in writing for a specific package or promotional rate.

Payments are processed automatically on the Client's original subscription date each month.

If a payment fails or is not made as agreed, the Agency reserves the right to pause production and withhold delivery of that month's content until payment is received.

3. Rights and Ownership

Client Ownership: Once final content is approved by the Client, the Client owns the finished, delivered assets outright and may use, modify, and distribute them as they see fit.

Raw Footage: Raw, unedited footage remains the property of the Agency and is not included in delivered ownership unless purchased separately as an add-on.

Agency Usage Rights: The Agency reserves the right to showcase delivered content on its own website, social media, and marketing materials as portfolio work, unless the Client requests otherwise in writing.

4. Feedback & Revisions

Each deliverable includes [X] round(s) of revisions, to be requested within [X] business days of delivery.

Revision requests beyond the included scope, or requests made after a deliverable has already been approved, may incur additional charges to be agreed in advance.

Delayed Client feedback may impact delivery timelines for that month. The Agency is not responsible for schedule delays caused by the Client's delayed shipping, approvals, or feedback.

5. Cancellation and Refund Policy

The Client may pause or cancel the subscription at any time, effective for the next billing cycle. Cancelling does not refund the current, already-active month.

Refunds are not issued for completed or in-progress work.

If the Agency terminates the agreement, any completed work will be delivered, or a refund issued for work not yet started.

6. Client Commitment & Expectations

The Client acknowledges that content strategy and audience growth take time, and that the Agency does not guarantee specific results such as sales, engagement, or follower growth.

For best results, the Client is expected to:

• Ship products on time for scheduled productions.

• Engage promptly in the treatment approval and feedback process.

• Maintain a consistent, ongoing subscription to allow the content strategy to build over time.

7. Agreement

These Terms apply from the Client's subscription start date and continue on a monthly, rolling basis.

By submitting payment for a NoPlansToday subscription, the Client agrees to these Terms and Conditions.
